Description of Service
Screenplay2Sell.com (4 Screenwriters LLC) is a web-based Service that allows its subscribers to view databases of material and to post loglines and storylines. Users receive space to post text on the Screenplay2Sell servers or on the servers of third parties. The Service is available exclusively through the Internet, and all updates are posted through a web browser connected to the web site.
YOU UNDERSTAND that though you are paying for a "lifetime" membership, it is not guaranteed that Screenplay2Sell.com (4 Screenwriters LLC) services will be provided for life, only that you will never have to pay again for Screenplay2Sell.com.
Your Obligations
Users of Screenplay2Sell.com (4 Screenwriters LLC) are required to provide accurate, complete and current information about themselves on all registration forms. You will be issued a password, and you are entirely responsible for maintaining the confidentiality of that password. Furthermore, you are entirely responsible for any activities that occur through your account. If you need to change your password for any reason please click here, or contact us via email at admin@Screenplay2Sell.com (4 Screenwriters LLC). Please notify Screenplay2Sell.com (4 Screenwriters LLC) immediately of any unauthorized use of your account or any other breach of security.
Screenplay2Sell.com (4 Screenwriters LLC) Privacy Policy
Screenplay2Sell.com (4 Screenwriters LLC) respects the privacy of its users and subscribers. Screenplay2Sell.com (4 Screenwriters LLC) will not disclose any personal information about you or your use of this Service except to conform to legal requirements or comply with legal process.
Indemnity
You understand that Screenplay2Sell.com (4 Screenwriters LLC) DOES NOT guarantee you will SELL your screenplay! You agree to indemnify and hold Screenplay2Sell.com (4 Screenwriters LLC) harmless from any claim or demand, including attorneys' fees, made by any third party due to or arising out of your use of this Service.
User Consent to Terms and Conditions of Service
You represent that you have read and agree to be bound by the terms and conditions of service ("TOS") for Screenplay2Sell, including our Privacy Policy, which you should review.
Use of Material
Screenplay2Sell authorizes you to access and use the Service solely for your personal, non-commercial use. You may not sell or modify the Service, and you may not reproduce, display, publicly perform, distribute, or otherwise use the Service in any way for any public or commercial purpose. As an express condition of your use of the Service, you warrant to Screenplay2Sell that you will not use the Service for any unlawful purpose or purpose prohibited by this Agreement. If you violate any part of this Agreement, your permission to use the Service automatically terminates and you must immediately destroy any copies you have made of any material obtained through the Service. Screenplay2Sell makes no representation that the Service is legal or appropriate for use outside of the United States or that it is authorized for export from the United States or import into any other country. You are solely responsible for complying with all import and export laws and regulations and all applicable laws of any jurisdiction outside of the United States from which you may access the Service.
Posting to the PITCH WALL
By posting content to or submitting any materials for use on the Web Site, you grant (or warrant that the owner of such rights has expressly granted) Screenplay2Sell a perpetual, royalty-free, irrevocable, non-exclusive right to keep material posted until you request removal.
In consideration of the foregoing, you hereby irrevocably warrant, represent and acknowledge the following:
1. The Material is submitted by you voluntarily and not in confidence, and no confidential or fiduciary relationship between you and Screenplay2Sell.com (4 Screenwriters LLC) exists or is being created by this Agreement or by my submission of the Material.
1a. THERE ARE NO GUARANTEES THAT YOUR MATERIAL WILL BE READ OR RESPONDED TO!
1b.You understand that Screenplay2Sell.com (4 Screenwriters LLC) DOES NOT guarantee you will SELL your screenplay!
2. Youy are at least eighteen (18) years of age, the Material is completely original with you (or to a minor extent in the public domain), and has not been sold, assigned, optioned or otherwise transferred, nor has it been used as security for any loan or otherwise encumbered. You are the sole owner and author of the Material, and have the exclusive right and authority to submit the Material to you upon the terms and conditions set forth herein, and none of the rights granted herein will libel or defame any third party or otherwise violate the rights of any third party, whether under copyright or otherwise.
3. No obligation of any kind is assumed or may be implied against Screenplay2Sell by reason of the submission of the Material.
4. Nothing contained in this Agreement nor the fact of my submission of the Material to you shall place you or any other person or entity to whom you show the Material in any different position than anyone else to whom I have not submitted the Material.
6. Except as otherwise provided in this Agreement, you hereby release Screenplay2Sell, from any and all claims, demands, and liabilities that may arise in relation to the Material or by reason of any claim now or hereafter made by you.
7. It is YOUR sole responsibility to protect the Material, including filing or registration the Material with the Writers Guild of America or the United States Copyright Office. Screenplay2Sell strongly recommend that you register the Material with one or both of the aforementioned parties.
a. You will indemnify, protect, defend and hold Screenplay2Sell.com (4 Screenwriters LLC) harmless from and against any liabilities, losses, claims, demands, costs or expenses (including, without limitation, attorneys' fees and court costs) incurred at any time in connection with the Material or in connection with any breach or alleged breach.
8. You understand that you have the right to discontinue Screenplay2Sell.com (4 Screenwriters LLC) and/or The Service at any time without any notice given and may request for all PITCH WALL postings to be removed to admin@Screenplay2Sell.com (4 Screenwriters LLC).
9. You hereby state that you have read and understand this Agreement.
Member Conduct
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated.
Registration
You are solely responsible for all usage or activity on your Screenplay2Sell account, including but not limited to use of the account by any third party authorized by you to use your subscriber ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, in Screenplay2Sell's sole discretion, and Screenplay2Sell may refer you to appropriate law enforcement agencies. You may terminate your account at any time by sending an e-mail to admin@Screenplay2Sell.com (4 Screenwriters LLC).
Disclaimer and Limitation of Liability
YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND ACKNOWLEDGE THAT THE SERVICE AND ANYTHING CONTAINED THEREIN, INCLUDING, BUT NOT LIMITED TO, CONTENT, SERVICES, GOODS OR ADVERTISEMENTS (THE "ITEMS") ARE PROVIDED "AS IS" AND THAT Screenplay2Sell MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE ITEMS, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, NONINFRINGEMENT, TITLE OR FITNESS FOR A PARTICULAR PURPOSE OR USE. Screenplay2Sell does not warrant that the Service is compatible with your equipment or that the Service is free of errors or viruses, worms or "Trojan horses" and is not liable for any damage you may suffer as a result of any such destructive features. You agree that Screenplay2Sell, its suppliers and its third-party agents shall have no responsibility or liability for (i) any injury or damages, whether caused by the negligence of Screenplay2Sell, its employees, subcontractors, agents, suppliers or otherwise arising in connection with the Service and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages or any claim against Screenplay2Sell by any other party or (ii) any fault, inaccuracy, omission, delay or any other failure in the Service caused by your computer equipment or arising from your use of the Service on such equipment. The content of other Web sites, services, goods or advertisements that may be linked to the Service is not maintained or controlled by Screenplay2Sell. Screenplay2Sell is therefore not responsible for the availability, content or accuracy of other Web sites, services or goods that may be linked to, or advertised on, the Service. Screenplay2Sell does not (a) make any warranty, express or implied, with respect to the use of the links provided on, or to, the Service, (b) guarantee the accuracy, completeness, usefulness or adequacy of any other Web sites, services, goods or advertisements that may be linked to the Service or (c) make any endorsement, express or implied, of any other Web sites, services, goods or advertisements that may be linked to the Service. Screenplay2Sell is also not responsible for the reliability or continued availability of the telephone lines and equipment you use to access the Service. You understand that Screenplay2Sell and/or third-party contributors to the Service may choose at any time to inhibit or prohibit their content from being accessed under the TOS.
Termination
Either you or Screenplay2Sell may terminate the TOS with or without cause at any time and effective immediately. You may terminate the TOS by discontinuing use of the Service and destroying all materials obtained from the Service. The TOS will terminate immediately without notice from Screenplay2Sell if you, in Screenplay2Sell's sole discretion, fail to comply with any provision of these TOS.
Miscellaneous
You accept that Screenplay2Sell has the right to change the Content or technical specifications of any aspect of the Service at any time at Screenplay2Sell's sole discretion. You further accept that such changes may result in your being unable to access the Service.
Revised Terms
You acknowledge that Screenplay2Sell may post revisions to these Terms of Service, with or without notice.
Errors and Corrections
Screenplay2Sell does not represent or warrant that the Web Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. Screenplay2Sell does not warrant or represent that the information available on or through the Web Site will be correct, accurate, timely, or otherwise reliable. Screenplay2Sell may make improvements and/or changes to its features, functionality or Content at any time.
Unauthorized Use
SUBSCRIBER also agrees that any unauthorized use of the SERVICE (and any data derived there from) may result in immediate termination of the Agreement, without refund of any pre-paid fees. SUBSCRIBER represents and warrants that the information provided during the subscription process is true and accurate. Screenplay2Sell reserves the right to terminate SUBSCRIBER's access to the SERVICE in the event that SUBSCRIBER provides any false information to Screenplay2Sell as part of the subscription process, without refund of any pre-paid fees. In the event of such termination, SUBSCRIBER will continue to be liable for applicable fees for the period prior to termination, together with such other remedies as to which Screenplay2Sell may be entitled.
Password Disclosure
SUBSCRIBER shall select a unique user name and password to obtain access to the SERVICE. SUBSCRIBER shall be solely responsible for the confidentiality and use of the SERVICE using SUBSCRIBER's user name and password.
All rights reserved to special content that copyright is held. DO NOT reproduce our CONTENT your membership will be subject to termination.
